Business Transactions

I represent closely held corporations, limited liability companies, partnerships, joint ventures, and sole proprietorships, as well as individuals in the formation, sale, purchase, reorganization and dissolution of businesses. Additionally I provide counseling on day-to-day business activities and legal questions, serving as general business counsel to small and medium size businesses.

I prepare corporate agreements including those concerning stock and/or asset and purchases, shareholder rights and obligations, partnership arrangements, employment and independent contractor relationships, security interests, loan financings and personal and corporate guarantees. Additionally I assist clients in formulating standardized service, sale and licensing agreements.
